General Terms & Conditions
1. Scope and Application
These General Terms & Conditions apply to all offers, sales, trading activities, and logistics coordination services provided by ClearPath International B.V. unless otherwise agreed in writing.
2. Business-to-Business Transactions
ClearPath International B.V. operates exclusively on a business-to-business (B2B) basis. No consumer transactions are accepted.
3. Orders and Confirmations
All orders become binding only after written confirmation by ClearPath International B.V. The order confirmation defines the product, quantity, price, delivery terms, and delivery location.
4. Prices
All prices are stated in EUR unless otherwise agreed. Prices exclude VAT, customs duties, import taxes, and other governmental charges unless explicitly stated.
5. Delivery Terms
Delivery terms follow the Incoterms® 2020 rules as stated in the order confirmation or invoice. Unless otherwise agreed, delivery terms may include EXW, FCA, or DAP.
6. Transfer of Risk
Risk transfers from ClearPath International B.V. to the buyer in accordance with the applicable Incoterm stated in the transaction documentation.
7. Payment Terms
Payment terms are specified on the invoice. Unless otherwise agreed in writing, invoices must be paid by bank transfer within the stated payment period.
8. Late Payment
In case of late payment, ClearPath International B.V. reserves the right to charge statutory commercial interest and reasonable collection costs as permitted under Dutch law.
9. Retention of Title
Goods supplied by ClearPath International B.V. remain the property of the company until full payment of the invoice has been received.
10. Transport Liability
Where transport is arranged through third-party carriers, liability for loss or damage during transport is governed by the CMR Convention and the carrier’s insurance. ClearPath International B.V. acts as a logistics coordinator unless otherwise explicitly agreed.
11. Claims
Any claims regarding quantity, visible damage, or product condition must be reported in writing within 48 hours after delivery. Failure to notify within this period shall constitute acceptance of the goods and waiver of any related claims.
12. Liability Limitation
ClearPath International B.V. shall not be liable for indirect or consequential losses, including but not limited to loss of profit, loss of market, or business interruption.
13. Suspension of Performance
ClearPath International B.V. reserves the right to suspend deliveries or services if the buyer fails to meet payment obligations or if there are reasonable doubts regarding the buyer’s financial solvency.
14. Force Majeure
ClearPath International B.V. shall not be liable for delays or non-performance caused by circumstances beyond its reasonable control, including but not limited to transport disruptions, customs delays, strikes, natural disasters, governmental actions, or other unforeseen events.
15. Governing Law
These General Terms & Conditions and all agreements concluded by ClearPath International B.V. are governed by the laws of the Netherlands.
16. Jurisdiction
Any disputes arising from or related to transactions with ClearPath International B.V. shall be submitted to the competent court in the Netherlands.
